The terms of working together.

1. Our services
Power In Local helps local businesses adopt practical AI, automation, CRM, and marketing systems. Depending on what you purchase, this may include a one-time onboarding (which includes a Business & Brand Foundational Document, CRM and operations setup, and the build and training of an AI assistant) and ongoing monthly plans that support and expand those systems. The specific scope of your engagement is what we describe to you at purchase and on your discovery call. We may improve, change, or discontinue features over time.
2. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract to use our services. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of any account credentials or access we set up for you. You are responsible for activity that occurs under your account.
3. Fees, payment, and billing
- Onboarding. The one-time onboarding fee is due at the time of purchase and begins your engagement.
- Onboarding refunds. You may request a full refund of your onboarding fee at any time before we deliver the assets you receive at your discovery call (including your Business & Brand Foundational Document). Once those assets have been delivered, the onboarding fee is non-refundable, because you have received work of lasting value.
- Monthly plans. Monthly plan fees are billed on a recurring basis and, unless otherwise agreed, begin after your AI assistant is built and live. Plans renew automatically each billing cycle until cancelled.
- Cancellation and subscription refunds. You may cancel your monthly plan at any time, and cancellation stops future charges. If you have prepaid for a period you have not fully used, we will refund the prorated, unused portion.
- Taxes and processing. Fees are exclusive of any applicable taxes. Payments are handled by a third-party payment processor, and you agree to their terms in addition to these Terms.
We may update our pricing from time to time; changes will not affect fees already paid but may apply to future billing cycles or purchases.
4. Your responsibilities
Delivering our services depends on your cooperation. You agree to:
- Complete our questionnaire and provide accurate, complete, and timely information about your business.
- Provide any access we reasonably need to set up and manage the tools and systems you engage us to build.
- Review and respond to requests, drafts, and approvals in a reasonable timeframe.
- Use the services and any AI assistant lawfully, and ensure your own use complies with the rules and terms of any third-party platforms involved.
Delays or incomplete information on your side may affect timelines. Any timeframes we share (for example, typical go-live windows) are estimates, not guarantees.
5. Client content and data
You retain ownership of the content, information, and customer data you provide ("Client Content"). You grant us a limited license to use Client Content solely to provide and support the services. You are responsible for having the rights, notices, and consents required for us to process Client Content and any information about your customers, and for how your AI assistant interacts with your customers. Our handling of information is described in our Privacy Policy.
6. Intellectual property
Our website, brand, methods, templates, and materials — excluding Client Content — are owned by Power In Local or our licensors and are protected by law. Deliverables we create specifically for you as part of your onboarding (such as your Business & Brand Foundational Document) are yours to use for your business. We retain ownership of our underlying tools, frameworks, and know-how, and nothing here transfers those to you.
7. Third-party services
Our services rely on and integrate with third-party platforms and tools (for example, CRM/automation, payment processing, communication, listing, review, and AI platforms). Those services are governed by their own terms and are outside our control. We are not responsible for the availability, performance, or acts of third-party providers.
8. AI disclaimer and no guarantee of results
Your AI assistant and related tools are powered by artificial intelligence, which can produce output that is inaccurate, incomplete, or unexpected. AI output is not professional (legal, financial, medical, or other) advice, and it is not a substitute for human judgment. You are responsible for reviewing output and setting the guardrails that fit your business. We work to build effective systems, but we do not guarantee specific results, revenue, leads, rankings, or outcomes, which depend on many factors outside our control.
9. Acceptable use
You agree not to misuse our website or services, including by using them for unlawful, harmful, deceptive, or abusive purposes; infringing others' rights; attempting to disrupt or gain unauthorized access to our systems; or using an AI assistant to send spam or violate any applicable communication laws (such as consent and opt-out requirements).
10. Disclaimers
Our website and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the services will be uninterrupted, error-free, or secure.
11. Limitation of liability
To the fullest extent permitted by law, Power In Local and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of our website or services. Our total liability for any claim arising out of or relating to these Terms or the services will not exceed the amount you paid to us for the services giving rise to the claim in the twelve (12) months before the event that caused the claim.
12. Indemnification
You agree to indemnify and hold harmless Power In Local from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your Client Content, your use of the services, your violation of these Terms, or your violation of any law or third-party rights.
13. Term and termination
These Terms apply while you use our website or services. We may suspend or terminate your access or services if you breach these Terms, fail to pay, or misuse the services. You may stop using the services at any time and cancel monthly plans as described above. Sections that by their nature should survive termination (including fees owed, intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. You agree that any dispute arising out of or relating to these Terms or our services will be resolved in the state or federal courts located in Florida, and you consent to their jurisdiction, unless otherwise required by law.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of our website or services after an update means you accept the revised Terms.
